Terms and Conditions for Digital Marketing Services

Intro: These Terms and Conditions (“Agreement”) govern all digital marketing services provided by:

– European Elite Business Hub FZE, registered under RAKEZ, Ras Al Khaimah, UAE 
– Hub2Connect Event Management LLC, registered in Abu Dhabi, UAE 

(collectively referred to as the “First Party”) 
to any client (the “Second Party”) who subscribes to a digital marketing package or signs a custom agreement via https://eebusinesshub.com.

By purchasing any digital marketing package or paying a custom invoice, the Second Party agrees to these Terms.


Effective Date & Duration (Digital Marketing Packages)

This agreement begins on the date of first payment and is valid for one calendar year, renewing automatically unless otherwise terminated as outlined herein.


1. Acceptance

By purchasing a package or custom service, the Second Party accepts these Terms and agrees to be legally bound by them.


2.  Scope Extension for Related Services

This Agreement also applies to clients who subscribe to or purchase the following related services through our website, unless a separate agreement is explicitly provided:

– Search Engine Optimization (SEO) Packages
– Paid Advertising Management (Meta, Google, LinkedIn, TikTok)
– Multimedia Production Services (photo/video content creation)
– Branding Packages (including logo, visual identity, brand kits)
– Digital Marketing Strategy Plans
– Market Research Plans
– Business Plans for internal or investor use

Each of these services falls under the umbrella of Digital Marketing and will follow the terms and clauses outlined in this Agreement, including but not limited to: timelines, payment, content ownership, revision policy, and termination terms.

Clients acknowledge that by subscribing to or purchasing any of the above services, they are bound by these Terms and Conditions. All work begins only after receipt of full or first payment, and delays in approvals, payments, or communication from the client may result in service delays without any liability to the First Party.

For Web Development Packages, E-Commerce Websites, or Legal Policy Drafting (e.g., Privacy, Terms, Cookie Policies), a separate scope of work and additional terms may apply. Where no separate terms are signed, the First Party’s liability is limited to delivering the services as agreed in writing, without guarantee of legal compliance or platform performance. Intellectual property ownership is retained by the First Party until full payment is received, and the First Party reserves the right to use templates or layouts across other projects unless exclusivity is requested in writing.


3. Services & Payment Terms

– Services are based on the selected monthly or custom package.

– Fees are billed monthly in advance via Stripe and are due no later than the 5th of each month.

– Payments are non-refundable once the work cycle has started.

– Late payments (more than 10 days overdue) result in automatic service suspension.

– The First Party is not responsible for content delays caused by suspended service due to late payment.


4. Scope of Work

– The scope is strictly limited to what is defined in the selected or agreed-upon package.

– Any additional services, extra platforms, or rush jobs require prior written approval and may be subject to additional charges.

– Digital marketing is a strategic, long-term process; results may take 6+ months, depending on the client’s business model and industry.


5. Ownership & Intellectual Property

– All content and deliverables remain the property of the First Party until all payments are settled.

– Upon full payment, ownership is transferred to the Second Party for their own use.

– If payments are overdue, the First Party may suspend or revoke access to all digital assets under management (e.g., social media accounts, websites, ad platforms).

– Unless otherwise requested in writing, the Second Party authorizes the First Party to use their project for marketing and portfolio purposes.


6. Initial Setup Period

The first service month includes setup activities such as:

– Strategic planning

– Account access, audits & optimizations

– Graphic templates & content calendar design

– Ad account configuration

This period is non-skippable and critical for campaign success.


7. Content Delivery & Approval Process

– The Second Party must provide necessary materials (texts, images, logos, etc.) at least 10 days before the next monthly cycle.

– The First Party requires 15 days from receiving materials to design and schedule content.

– If approvals are delayed or content is not provided on time, posting may be delayed without liability to the First Party.

– If delays from the Second Party cause a skipped month, the full monthly fee still applies.

– Revision Limits: 2 rounds of revisions per post; additional revisions will be billed separately.


8. Multimedia Production

– If included, the First Party will conduct basic monthly on-site video shoots.

– Deliverables will be provided in 1080p HD.

– Revision Limits: 2 rounds of revisions per video; additional revisions billed separately

– If the Second Party fails to approve final edits or unreasonably delays progress, the First Party may consider work approved and issue a final invoice.


9. AI-Generated Content

– The First Party may use AI tools to assist in creating content (e.g., images, copywriting).

– Unless explicitly transferred in writing, AI-generated assets remain the property of the First Party.

– The First Party guarantees that AI tools used meet ethical and copyright compliance standards.


10. Managing Client Resources

The First Party will lead all digital marketing operations and direct internal resources (e.g., in-house teams, freelancers) of the Second Party when applicable.


11. Copyrights & Trademarks

– The Second Party affirms they have legal rights to all content and media they provide.

– The First Party is not liable for any IP infringement resulting from client-provided materials.

– Templates and creative strategies may be reused by the First Party unless exclusivity is requested in writing.


12. Outsourcing

The First Party may assign tasks to internal staff or trusted third-party freelancers as needed to deliver services.


13. Liability & Platform Restrictions

– While the First Party commits to professional service and strategic planning, specific outcomes (e.g., leads, ROI) are not guaranteed.

– The First Party is not liable for issues related to ad platform restrictions (e.g., account bans by Meta, Google, TikTok, etc.) but will support in resolution.


14. Confidentiality

Both parties agree to maintain confidentiality over any proprietary or business information shared during the term of this Agreement.


15. Termination Policy

– The Agreement auto-renews annually unless cancelled with written notice.

– To terminate, the Second Party must provide at least 45 days’ written notice via email.

– Early termination without this notice will result in a penalty equal to two months’ service fees.

– Cancellation of subscription payments (e.g., via Stripe) does not constitute termination. Written notice is still required.


16. Refund & Cancellation

– All services are prepaid and non-refundable once the work period has begun.

– Cancelled or skipped services mid-cycle will not be refunded.

– Any prepaid third-party costs (e.g., ad spend, printing, production) are non-refundable.


17. Third-Party Payment Processing

– All recurring payments are securely processed via Stripe.

– The First Party does not store or handle credit card details.

– If a subscription is cancelled via Stripe but no formal notice is provided, the contract remains active and subject to the Termination Clause.


18. Force Majeure

Neither party shall be held liable for any
failure or delay in the performance of its obligations under this Agreement if
such failure or delay is due to events beyond its reasonable control, including
but not limited to: natural disasters, pandemics, war, strikes, labor disputes,
governmental actions, utility outages, internet service disruptions, or acts of
God.

If a Force Majeure event prevents service delivery for more than 30 consecutive
days, either party may choose to suspend or terminate the agreement with
written notice, without penalty.

19. Jurisdiction

This Agreement shall be governed by and
interpreted in accordance with the laws of the United Arab Emirates.
Any disputes arising under or in connection with this Agreement shall be
subject to the exclusive jurisdiction of the competent courts of Ras Al Khaimah
or Abu Dhabi, depending on the contracting entity.

20. Additional Clauses for Specific Services

Web Development Services

If purchased, the First Party agrees to
deliver web development services based on a pre-approved scope of work. This
includes website structure, content upload, responsive design, and any
integrations as defined. The Second Party is responsible for providing timely
content and feedback. Delays in client communication may shift timelines. The
First Party is not responsible for third-party plugin functionality or
hosting/server issues outside its control.


E-Commerce Services

E-commerce development includes product
catalog setup, payment gateway integration, and cart functionality. The Second
Party is responsible for providing product data and testing the final store.
The First Party does not guarantee payment provider approval or merchant
account acceptance. Ongoing product uploads and store management are not
included unless explicitly agreed upon.


Email Marketing Services

Email marketing services include newsletter
creation, template design, and campaign deployment. The First Party will use
platforms like Mailchimp or others depending on the scope. The Second Party
must approve all content before dispatch. The First Party is not liable for
email delivery issues, bounce rates, or blacklisting caused by old/inactive
lists or third-party platform limitations.


Branding Services

Branding packages include logo design,
color palettes, typography, and brand guidelines. The First Party offers two
revision rounds per branding item. Delays in feedback or approval will delay
project delivery. Once final designs are delivered and approved, they become
the property of the Second Party upon full payment.


SEO Services

SEO packages include on-page optimization,
basic technical SEO, content suggestions, and keyword targeting. SEO results
depend on multiple external factors including algorithm changes and
competition. The First Party does not guarantee search engine rankings,
traffic, or conversions but will implement best practices within scope.


Paid Ads Services

Paid ad services include campaign setup, ad
creative, and monthly management. Platforms may include Meta, Google, LinkedIn,
or TikTok. Ad spend is paid directly by the Second Party unless otherwise
agreed. The First Party is not responsible for ad platform suspensions or
rejected ads but will support appeals and adjustments.
