Terms and Conditions for Digital Marketing Services

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the http://www.eebusinesshub.com website operated by European Elite Business Hub

  1. Parties and Effective Date:
  • This agreement is between European Elite Business Hub FZ-LLC, located at RAKEZ Business Zone FZ, Al Jazeerah Al Hamra, Ras Al Khaimah, United Arab Emirates (the “First Party”) and the subscribing client (the “Second Party”). The terms are effective from the date of payment and will last for one calendar year.
  1. Acceptance:
  • By subscribing to a plan and making the payment, the Second Party accepts all terms and conditions outlined herein.
  1. Services and Payments:
  • Services are provided according to the package chosen by the Second Party. The Second Party agrees to pay the monthly fee specified for the selected package, billed one month in advance and due by the fifth day of each monthly cycle.
  1. Scope of Work and Additional Services:
  • The specific scope of work is defined by the selected service package and any additional services required beyond the specified scope will incur additional charges. Adjustments to scope and pricing due to additional requirements will be mutually agreed upon.
  • By subscribing to a plan, making the payment and accepting the terms and conditions, Second party agrees and understands that the overall digital marketing service of the chosen package is a long-term process and a strategic plan that requires time. Therefore, the results may not be noticed or visible within the first six months and more depending on the business category.
  1. Initial Setup and Planning Period:
  • Upon subscription, the Second Party acknowledges that the first cycle or month of service is dedicated to initial setup activities. This period is essential for the First Party’s team to engage in brainstorming, strategic planning, and the establishment or acquisition of social media accounts. Additionally, this time will be used to create graphic designs and other visual materials necessary for the subsequent cycle’s digital marketing efforts. This foundational month is critical to laying the groundwork for effective and tailored digital marketing campaigns.
  1. Content Development and Provision:
  • The Second Party must provide all necessary texts, logos, articles, photographs, graphics, videos, and other multimedia materials required for content creation within ten days prior to each content cycle.
  • The First Party shall require a minimum of fifteen (15) days from the receipt of all necessary materials to prepare and curate the content, including posts for the upcoming cycle.
  • The First Party will prepare all social media posts, captions, and hashtags for the upcoming cycle in advance. This content will be sent to the Second Party for approval before the start of each cycle to ensure alignment and satisfaction. The Second Party must understand that requests for day-to-day posting will not be accepted, as our strategy involves careful advance planning to ensure content quality and strategic alignment. This approach helps to maintain consistency and maximizes the impact of the digital marketing efforts.
  1. Multimedia Production:
  • If included in the chosen package, the First Party will provide multimedia production services, which may require access to the Second Party’s premises for video shooting as per the agreed schedule.
  • Upon capturing the necessary footage, the First Party is responsible for the professional editing and post-production of the video content. The First Party shall deliver the finalized video content for social media posting within a timeframe ranging from seven (7) to fourteen (14) working days.
  1. Managing Internal Resources of Second Party
  • Second Party agrees that First Party will have the lead and be fully in charge of establishing digital marketing strategy, managing day to day work/task, managing all of the current internal digital marketing resources (employees, freelancers, etc.).
  • Second Party agrees that all digital resources will report to First Party on an as-needed basis to implement the program effectively.
  • Resources will be managed and provided tasks to support the digital marketing strategy, day-to-day efforts, and daily management set forth by First Party and the Second Party’s executive committee.
  1. Copyrights and Trademarks:
  • The Second Party assures that all materials provided are either owned by them or they have permission to use them. The Second Party will indemnify the First Party against any claims resulting from the use of such materials.
  • First Party guarantees that any elements of text, graphics, videos, photos, content, designs, or other artwork are licensed for use for the services provided to Second Party.
  1. Ownership and Deliverables:
  • All deliverables created by the First Party remain the First Party’s property until officially handed over. The Second Party retains the rights to all materials not explicitly marked as First Party property.
  • Second Party agrees to allow First Party to use their name and website for company promotions, online portfolio, past clients list, on social media, backlinking, in print material, etc. for advertising and promoting First Party services to other companies.

 

  1. Assignment of Project:

 

  • First Party reserves the right to assign its own staff working in different countries and/or certain freelancers to this project if it sees the need to do so in order to meet the requirements of this Agreement.
  1. Liability and Performance:
  • The Parties acknowledge that the internet is neither owned nor controlled by any one entity; therefore, First Party can make no guarantee on the results that may be provided as a result of their work. First Party represents that in good faith it shall make every effort to ensure that the Second Party digital marketing services is done successfully.

 

  • In no event, will First Party be liable to the Second Party or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these digital marketing services or website(s), even if First Party has been advised of the possibility of such damages.
  1. Confidentiality:
  • Both parties agree to maintain confidentiality regarding each other’s proprietary information unless required for the performance of agreed services.
  1. Termination:
  • The agreement is automatically renewable annually. It may be terminated by either party with a 45-day written notice prior to the end of the term. Early termination by the Second Party without the required notice will incur a penalty of two months of the service charge.
  1. Legal and Jurisdiction:
  • Governed by the laws of the United Arab Emirates, any disputes will be resolved under UAE jurisdiction.
