By subscribing to a plan and making the payment, the Second Party accepts all terms and conditions outlined herein.
- Services and Payments
- Services are provided according to the package chosen by the Second Party.
- The Second Party agrees to pay the monthly fee specified for the selected package, billed one month in advance and due by the fifth day of each monthly cycle.
- Any late payments beyond 10 days from the due date will result in an automatic suspension of services until full payment is received.
- Scope of Work and Additional Services
- The specific scope of work is defined by the selected service package.
- Any additional services beyond the package will incur extra charges.
- Adjustments to scope and pricing due to additional requirements will be mutually agreed upon in writing.

- Results may not be visible within the first six months or more, depending on the business category.
- Ownership and Deliverables
- All deliverables created by the First Party remain the First Party’s property until full payment is made.
- In case of pending payments, the First Party reserves the right to block access to social media accounts, websites, and any digital assets under its management until all outstanding invoices are settled.
- The Second Party allows the First Party to use its name, website, and project details for marketing and portfolio purposes unless explicitly requested otherwise in writing.
- Initial Setup and Planning Period
- The first cycle (month) of service is dedicated to setup activities, including:
- Strategic planning
- Account setup & optimizations
- Graphic design & content creation
- Advertising account configuration
- The Second Party acknowledges that this setup period is essential for a successful marketing strategy.
- Content Development and Provision
- The Second Party must provide all necessary texts, logos, articles, photos, videos, and other materials required for content creation at least 10 days before the next content cycle.
- The First Party requires a minimum of 15 days from receiving materials to create and prepare content.
- Failure to provide timely approvals on content will result in delays in posting, and the First Party will not be held responsible for any disruptions in content scheduling.
- If the approval delay causes the next cycle to have no posts, the Second Party will still be billed for that month.
- Revisions Policy: The First Party allows up to 2 revisions per post. Any additional revisions will be billed separately.
- Multimedia Production
- If included in the package, the First Party will conduct video shooting at the Second Party’s premises as per the agreed schedule.
- The First Party will deliver the content in 1080p format.
- Revisions Policy:
- The First Party provides a maximum of 2 revisions per video.
- Additional revisions will be charged separately.
- If the Second Party repeatedly rejects completed work without valid justification, the First Party reserves the right to consider the work approved and issue the final invoice.
- The First Party will not be responsible for any delays caused by the Second Party’s failure to provide approvals or necessary inputs on time.
- Managing Internal Resources of the Second Party
- The First Party will have the lead role in managing the digital marketing strategy, daily tasks, and all internal marketing resources (employees, freelancers, etc.).
- The Second Party’s internal resources will be managed under the direction of the First Party to ensure smooth execution of the digital marketing plan.
- Copyrights and Trademarks
- The Second Party assures that all provided materials (logos, images, videos, text) are either owned by them or they have legal permission to use them.
- The First Party is not liable for any copyright disputes arising from unauthorized use of materials provided by the Second Party.
- The First Party retains the rights to use templates, graphics, and marketing strategies created under this contract for future clients unless specifically stated otherwise.

- Liability and Performance
- The First Party will make every effort to provide high-quality services, but cannot guarantee specific results due to the ever-changing nature of digital marketing.
- The First Party is not responsible for any financial losses or damages that may arise from campaign performance.
- If a platform (Meta, Google, LinkedIn, etc.) suspends or bans an ad account, the First Party is not liable but will assist in resolving the issue.
- Confidentiality
- Both parties agree to maintain confidentiality regarding each other’s proprietary information unless required for the execution of services.
- Termination
- The agreement automatically renews every year unless terminated by either party.
- The Second Party must provide a 45-day written notice before terminating services.
- Early termination without notice will result in a penalty of two months’ service charge.
- Legal and Jurisdiction
- This agreement is governed by the laws of the United Arab Emirates (UAE).
- Any legal disputes will be resolved under UAE jurisdiction.
- Refund and Cancellation Policy
- The First Party does not offer refunds for digital marketing services once the work has commenced.
- If the Second Party wishes to cancel services before the end of the current billing cycle, no refunds will be issued for that period.
- Any prepaid services (e.g., advertising budgets, multimedia production) are non-refundable once executed.
- AI-Generated Content Ownership
- If the First Party uses AI tools to generate content, the First Party retains full rights to those materials unless explicitly transferred in writing.
- The First Party ensures AI-generated content complies with ethical and legal standards but is not liable for unforeseen issues.

- The First Party uses Stripe as a third-party payment gateway for all subscription-based services.
- The First Party does not collect, store, or process any credit/debit card details; all transactions are securely handled by Stripe’s encrypted payment system.
- The Second Party is responsible for ensuring sufficient funds are available for subscription payments.
- If the Second Party cancels the subscription through Stripe, it does not automatically terminate the agreement. The termination policy under Clause 14 still applies, and the Second Party must provide a 45-day written notice.
- Any early termination via Stripe without following the required notice period will result in a penalty of two months’ service charge as outlined in the Termination Clause (Clause 14).
